These Terms govern your access to and use of the NeoHireX platform. By using our services, you agree to be bound by them.

Acceptance & eligibility
- By accessing or using NeoHireX, you agree to these Terms of Service and our Privacy Policy.
- You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of your organisation.
- If you do not agree with any part of these terms, you must discontinue use of the platform immediately.
- We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.

Service description
- NeoHireX provides an AI-powered hiring operating system including candidate management, AI interviews, resume processing, pipeline management, and workforce analytics.
- The platform is provided on a subscription basis with features determined by your selected plan and enterprise agreement.
- We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
- AI-generated outputs are assistive in nature and should not be the sole basis for employment decisions.

User obligations
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You agree to use the platform only for lawful purposes and in compliance with all applicable employment, data protection, and anti-discrimination laws.
- You must not attempt to reverse-engineer, decompile, or extract source code from any part of the NeoHireX platform.
- You agree not to use the platform to store or transmit malicious code, or to interfere with the integrity or performance of the service.

Intellectual property
- All rights, title, and interest in the NeoHireX platform - including software, AI models, trademarks, and documentation - are owned by NeoHireX AI Intelligence.
- Your subscription grants a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes.
- You retain ownership of all data you upload to the platform. You grant NeoHireX a license to process this data solely to provide the services.
- Feedback and suggestions you provide may be used by NeoHireX to improve the platform without obligation to you.

Limitation of liability
- To the maximum extent permitted by law, NeoHireX shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total aggregate liability shall not exceed the fees paid by you in the twelve months preceding the claim.
- NeoHireX is not liable for hiring decisions made using AI-generated recommendations. Final decisions remain with the customer.
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Termination & governing law
- Either party may terminate the agreement with 30 days' written notice. NeoHireX may suspend access immediately for material breach.
- Upon termination, your right to use the platform ceases. You may request export of your data within 30 days of termination.
- These terms are governed by the laws of India. Disputes shall be resolved through arbitration in Bengaluru, India.
- If any provision of these terms is found unenforceable, the remaining provisions shall continue in full force and effect.
